Executive Summary
Across the 12 newly filed Consumer Discretionary documents for 2026-10-28, the dominant theme is strong top-line growth paired with margin pressure.
Carvana (revenue +42% YoY to $8.04B, retail units +39%) and eBay (GMV +15%, revenue +14%) are growing fast, yet both show compression in unit economics or operating margins, with Carvana's Total GPU down $365 and eBay's non-GAAP operating margin down 70 bps to 26.3%. Ford shows a mixed picture: revenue fell 2% and wholesale units fell 9%, but the low end of adjusted EBIT guidance was raised to $10.5B-$11B and Ford Credit EBT rose 27%. MGM Resorts is the most event-heavy name, with a Q3 attributable net loss of $17M (vs $285M), Las Vegas Strip EBITDAR down 12%, and a governance reset after People Inc.'s withdrawn acquisition proposal and an amended Voting Agreement capping ownership at 29.9%. Chipotle grew revenue 9.6% but saw operating margin fall to 13.7% from 15.9% on labor and G&A pressure. O'Reilly was the clear outlier on the positive side, with record revenue of $5.12B, comparable sales +7.2%, and a raised full-year outlook, though part of its EPS gain came from a one-time $39M tariff refund. Several names (Carvana's shift to GAAP-based targets and dropping outlooks, eBay's wide GAAP/non-GAAP gap, MGM's ownership and voting constraints) raise disclosure and visibility questions for investors. Ford's and Las Vegas Sands' debt and capital actions are the other notable developments.

Risk Flags (10)
- Carvana/Unit Economics↓ [HIGH RISK]▼
Total GPU down $365 YoY to $6,997 and Adjusted EBITDA margin down from 11.3% to 10.0%, with management attributing ~$200/unit to fuel prices and rising rates; growth is increasingly bought with lower per-unit profit
- Carvana/Disclosure↓ [HIGH RISK]▼
Company will stop providing quarterly or annual financial outlooks starting with the Q4 2026 call and shift to GAAP-based 2027 targets, reducing forward visibility
- eBay/GAAP Gap↓ [MEDIUM RISK]▼
Q4 2026 GAAP EPS guided to $0.82-$0.87 and full-year GAAP EPS to $4.26-$4.31, far below non-GAAP; GAAP operating margin down 110 bps YoY, and the GAAP effective tax rate swung to 17.1% from (4.3)%, distorting comparisons
- Ford/Operating Cash Flow↓ [MEDIUM RISK]▼
Operating cash flow fell $2.0B YoY to $5.4B in Q3 while Ford Blue and Ford Pro EBIT declined 10% and 16% respectively, pressured by commodity costs, Middle East conflict and Super Duty launch costs at Oakville
- Ford/Volume Decline↓ [MEDIUM RISK]▼
Wholesale units fell 9% YoY and total revenue fell 2% to $49.5B, with net income down to $2.0B from $2.4B; Q3 is a weaker top line than prior year
- MGM Resorts/Strip Demand↓ [HIGH RISK]▼
Las Vegas Strip RevPAR fell 8% on lower room rates despite flat 89% occupancy, signaling pricing pressure; Q3 consolidated revenue -0.9% and Regional Operations same-store revenue only +1%
- MGM Resorts/Governance↓ [MEDIUM RISK]▼
Voting Agreement with People Inc. caps beneficial ownership at 29.9% and voting at 25.73%, and constrains change-of-control voting; People's withdrawn acquisition proposal leaves overhang and takeover uncertainty
- Chipotle/Cost Inflation↓ [MEDIUM RISK]▼
Labor rose to 25.7% of revenue from 25.2% and G&A rose 26.2% to $185.2M; effective tax rate up to 25.6% from 23.1%; restaurant-level margin down to 23.3% from 24.5%
- Carvana/Non-Controlling Interest↓ [MEDIUM RISK]▼
Net income attributable to non-controlling interests rose to $194M from $112M (nine-month $552M vs $394M), meaning a growing share of profit leaks to LLC unit holders; $53M debt extinguishment loss in Q3
- Las Vegas Sands/Leverage↓ [LOW RISK]▼
New $1.0B of Sands China debt issued at 6.4%-6.7% coupons with no disclosed use of proceeds, adding to leverage in a sector already facing RevPAR pressure
Opportunities (9)
- O'Reilly Automotive/Momentum↓ (OPPORTUNITY)◆
Record quarter with comparable sales +7.2% and raised 2026 guidance on comps, gross margin and operating margin; EPS growth of 14% outpaces net income growth of 8% due to buybacks, supporting continued capital return
- Carvana/Growth Share↓ (OPPORTUNITY)◆
Retail units +39% vs flat industry shows meaningful share gains; if fuel and rate headwinds (~$200/unit) abate and Total GPU recovers from $6,997, Adjusted EBITDA margin could re-expand from 10.0%
- Carvana/Loan Sale Timing↓ (OPPORTUNITY)◆
Management argues Q3 2024 comparison was inflated by ~$250/unit of loan-sale timing and falling rates, so underlying year-over-year gains are understated; normalized comparisons could support the bull case
- eBay/Core Earnings Power↓ (OPPORTUNITY)◆
Non-GAAP EPS +12% to $1.51 on 14% revenue growth, GMV +15%; full-year FX-neutral revenue growth guided 12-13% including Depop, showing sustained top-line momentum
- MGM Resorts/China Recovery↓ (OPPORTUNITY)◆
MGM China record quarter with 17.1% market share and revenue +5%; nine-month net income swung to $400.5M profit; October trading rebounded favorably per management
- MGM Resorts/Buyback Path↓ (OPPORTUNITY)◆
Chairman Salem said the amended Voting Agreement gives the Board a clear path to maximize value through share repurchases; with 251.6M shares outstanding and no transactions by People in 60 days, buybacks may lift per-share value
- Ford/Credit Engine and Guidance↓ (OPPORTUNITY)◆
Ford Credit EBT +27% and raised low-end adjusted EBIT guidance ($10.5B-$11B), with cash of $25.3B and liquidity of $46.4B; $0.15 quarterly dividend (payable Dec. 1, record Nov. 10) supports income investors
- Ford Model e/Loss Narrowing (OPPORTUNITY)◆
Model e EBIT loss narrowed 25% YoY despite revenue falling 31%, showing cost discipline; continued narrowing would support an EV turnaround thesis
- Chipotle/Traffic Recovery↓ (OPPORTUNITY)◆
Third consecutive quarter of positive transaction growth and revenue +9.6%; if labor and G&A pressures ease, the 2026 low-single-digit comp outlook maintained could drive margin recovery from 13.7% operating margin
Sector Themes (5)
- Growth Without Margin Expansion◆
Revenue grew at Carvana (+42%), eBay (+14%), Chipotle (+9.6%), O'Reilly (+9%) and MGM (nine-month +1.4%), yet operating margin fell at Carvana (Adj. EBITDA 11.3% to 10.0%), eBay (GAAP 20.3% to 19.2%; non-GAAP 27.0% to 26.3%) and Chipotle (15.9% to 13.7%); pattern implies cost inflation and mix outpacing pricing across the group [IMPLICATION: favor operators with pricing power and cost discipline like O'Reilly]
- Labor and Wage Inflation in Consumer Services◆
Chipotle labor rose to 25.7% of revenue from 25.2%, MGM corporate expense +6.6%, and Chipotle G&A +26.2%; combined with Las Vegas Strip RevPAR -8%, cost pressure is hitting both restaurants and hospitality [IMPLICATION: watch labor-intensive consumer names for further margin compression]
- Macro and Rate Sensitivity in Auto Finance◆
Carvana cites rising benchmark rates and fuel prices as ~$200/unit headwinds; Ford Credit EBT +27% shows captive finance benefits, while Carvana's interest expense fell 29.6% but still produced a $53M extinguishment loss; rate direction is a key swing factor for auto retail and captive finance [IMPLICATION: rate sensitivity is high for used-vehicle and auto-lending exposure]
- Tariff Refund Tailwinds and One-Time Benefits◆
O'Reilly's Q3 included a $39M tariff refund (which lifted its guidance raise), and Ford's Pro segment cited lower tariffs; one-time benefits are flattering reported growth, so underlying margin trends may be weaker than headline numbers [IMPLICATION: normalize for tariff refunds when evaluating auto parts and auto OEM earnings quality]
- Capital Returns and Balance Sheet Actions◆
O'Reilly's 4.8% share-count reduction boosted EPS; Ford maintained a $0.15 dividend with $46.4B liquidity; MGM's governance framework favors buybacks; Las Vegas Sands and Sands China issued $1.0B of new notes at 6.4%-6.7%; the group is mixing buybacks and debt-funded growth [IMPLICATION: differentiate between buyback-funded EPS growth and leverage-driven expansion]

The amendment reports no transactions by the reporting person in the past 60 days and discloses an October 27, 2026 Amendment No. 1 to the Voting Agreement with MGM and Barry Diller that sets a 29.9% beneficial ownership cap on further acquisitions and a 25.73% voting cap, with defined voting rules for stockholder votes and change-of-control transactions.

MGM Resorts International announced on October 28, 2026 that it amended its existing Voting Agreement with People Incorporated, following People's withdrawal of its previously announced proposal to acquire the company. Under the amended agreement, People, Barry Diller and associated Covered Entities agreed, subject to conditions, to vote their shares in line with the Board's recommendation on any change of control transaction, and not to acquire shares that would push their aggregate ownership above 29.9%. - · People Incorporated withdrew its previously announced proposal to acquire MGM Resorts before the amendment was signed.
- · MGM Resorts has agreed not to take defensive measures or actions adverse to the Covered Entities while they remain in compliance with the Agreement.
- · Chairman Paul Salem said the agreement gives the Board a clear path to maximize value through share repurchases and a potential change of control transaction, consistent with its fiduciary duties.
- · People is described as MGM's largest shareholder; no dollar amounts, share counts, or deal terms were disclosed.
